Off the top of my head on a Monday morning:

(1) You'll be stuck in 32-bit.
(2) You won't have support for new fast standards such as USB 3.0.
(3) You probably won't be able to take full advantage of the multiple
processor cores.
(4) It's possible that your graphics card, DD3 memory and other advanced
hardware won't be supported (not sure on this).
(5) Your OS won't be supported much longer.
